1. P. Linehan presented his analysis of the “debt pay-down” plan.

2. B. Puritz presented to the CapOut the balances remaining from previously authorized capital articles.

Votes Taken:

1. MOVED by J. Hitter, and duly seconded, that the minutes of the December 15, 2005 meeting be accepted. VOTED in the affirmative (5-0-1).
